The briefs

Soft brand, franchise, independent — and the value story

How a flag, a soft brand, or no brand at all changes distribution, reserves, PIP, buyer set, and the number you can defend.

13 minOwner deciding a flag · buyer inheriting one

Owners argue affiliation as identity. Buyers underwrite it as a contract. The logo is the least interesting part. Fees, PIP, reservation contribution, termination, and who will buy the house next are the file.

Methods · named, not blended

I · Independent

A name, and a demand engine

Irreplaceable houses trade. The rest trade on the operator. Without a demand engine, independence is a discount wearing a story.

II · Franchise

Pipe, standards, PIP clock

Royalty, program, reserve, liquidated damages. Read remaining term before you capitalize year eight.

III · Soft brand

Distribution with a name

Not free. For a house that already has a name — not a costume for a house that does not.

IV · Income lines

You change the file

Harbor will not pretend a logo added 80 bps. Toggle the label. Edit ADR, fees, and PIP yourself.

01Independent

You keep the name, the website problem, and the exit to a buyer who can operate without a reservation system doing the heavy work. The highest independents trade on irreplaceability — a Pearl brewery, a Watch Hill porch, a cliff. The rest trade on the operator. If you do not have a demand engine, independence is a discount wearing a story.

02Franchise (hard brand)

You buy a reservation pipe, standards, and a PIP clock. You pay royalty, program fees, and often a mandatory reserve. You inherit a buyer set that includes REITs and lenders who sleep better with a flag. You also inherit liquidated damages if you want out. Read the remaining term before you capitalize year eight.

03Soft brand

Autograph, Tribute, The Unbound, The Luxury Collection, Curio, and their cousins sell distribution with more design freedom. They are not free. Standards, PIP, and fees still exist. The buyer set is wider than a pure independent and pickier than a Hampton. Soft brand is a strategy for a house that already has a name — not a costume for a house that does not.

04Owned / managed brand

When the operator’s name is on the door and they manage, you are underwriting a partnership. Incentive fees, owner priority, and termination are the value. A conversion from independent to managed luxury can raise ADR and also raise the bill. Model both.

05What moves the number

Affiliation changes: mix and ADR; expense ratio (fees and program); capex (PIP); buyer depth; lender appetite; and the terminal story. Harbor’s estimate lets you toggle affiliation as a label. It will not pretend a logo added 80 bps of cap rate by magic. You have to change the income lines yourself. That is the point.

Questions owners ask

Does a flag always increase value?
No. It can widen the buyer set and the lender set while taxing the P&L and attaching a PIP. Run both files.
Is a brand sale a real-estate sale?
No. Hilton’s Graduate acquisition was a brand and pipeline. The deed on Graduate Ann Arbor did not move because a newsroom said “acquired.”
